TRADER CORPORATION PRIVACY POLICY

Trader Corporation (“Trader” or “us” or “we”) is committed to maintaining the confidentiality and protection of your Personal Information. This Privacy Policy explains how, and why Trader handles and protects your Personal Information. Personal Information is any information that allows a person to be directly or indirectly identified.

1. CONSENT

We rely on your consent to collect, use, retain, and share your Personal Information. This Privacy Policy outlines your options, where available, to refuse or withdraw your consent.

You agree to this Privacy Policy when you:
  • apply for a product or service;
  • use our websites and mobile app (‘‘the Sites”); and
  • otherwise interact with us.

This Privacy Policy will apply:

  • when you ask to begin a relationship with us;
  • during the course of our relationship; and
  • for a period of time after the end of our relationship.

We do not collect Personal Information from individuals under the age of 14 without the parent’s express and verified consent.

2. WHY AND HOW WE COLLECT YOUR PERSONAL INFORMATION Beginning and maintaining a relationship with us

We need to collect certain Personal Information about you to provide our products and services. This may include your contact information, information about whether you are eligible for our products and services and records that reflect our overall relationship with you. We may also need other information depending on the product or service we are providing.

Information We Collect from You

The information we may collect includes: your name; your address; your telephone number; your email address; your driver’s license, your Social Insurance Number (“SIN”) and your credit information.

Automated Information

We may through automated means collect and/or aggregate information regarding your use of the Sites such as:

  • Your ISP or mobile carrier, and the type of handheld or mobile device that you used; and
  • Your behavior while using our site, including the time you spend on portions of the site and how you interact with various aspects of the Sites.
3. HOW WE USE YOUR PERSONAL INFORMATION

We use your Personal Information to help us deliver and manage our products and services, and to administer our business. We may also use your Personal Information:

  • When you express an interest in buying, selling, or trading in a car;
  • Apply for credit with a dealer or one of our finance partners;
  • To create listings and advertisements for any cars and other vehicles that you list for sale with us. These lists and advertisements may appear on the Sites and other websites, mobile applications, or services of third parties;
  • To provide values and/or offers for cars that you would like to sell or trade in;
  • To perform data analysis, including market and consumer research, trend analysis, demographic analysis, and financial analysis;
  • To deliver content (including advertising) correlating to your interests and browsing and usage history, both within the Sites and on other websites and applications;
  • To comply with applicable legal requirements and our policies; and
  • To contact you via telephone, text, or chat. We will obtain your consent to contact you when and how required by law.
4. Our Use of Web Based Tools

We use certain technologies and tracking tools on our websites and apps to personalize your experience. For example, we use cookies, which are small identifiers sent from a web server that are stored on your device for the purpose of identifying your browser or storing information or settings in your browser. We also use pixels, beacons, and other technologies (‘‘Web Based Tools”)

Essential Web Based Tools– We use Essential Web Based tools to make certain features available to you on our websites, to help ensure the security of your online browsing experience, to detect, prevent and investigate fraud and to collect information on how you use our websites.

Non-Essential Web Based Tools - We also use non-essential web-based tools to enhance your experience with personalized content. For example, remembering your language and similar settings and presenting offers that may be of interest to you. These tools also allow our third-party advertisers to personalize your online experience and present ads specific to your interests.

Combined Personal Information- We may pool your Personal Information such as your use of the Sites, your use of other websites, devices and mobile applications with other peoples’ Personal Information and Personal Information from our affiliates and other sources. You will not be identified in the combined information.

5. Online Advertising

We subscribe to Digital Advertising Alliance of Canada's Self-Regulatory Principles for Online Behavioral Advertising. These principles promote consumer awareness and choice about how organizations use consumer information for Online Behavioral Advertising. Advertising Tracking – Trader and our third-party service providers may use Web Based Tools to deliver more relevant advertising based on which ads you interact with on our and third-party websites. We do not provide Personal Information that is directly associated with a specific person (such as name and address) to an advertising network when you interact with or view a customized advertisement.

6. Location Information

When you download or use the Sites, we may with your permission collect physical location information that allows us to locate a specific device (“Location Information”). We may use Location Information and provide it to third parties to provide you with relevant content and services, such as advertising, search results, dealers in the area, and to evaluate and improve the Sites.

You can decline to provide your Location Information or opt out by changing the location services settings on your mobile device. However, certain features may not function properly or at all as a result if you opt out.

7. OUR MOBILE APP

If you use a Trader mobile app, we may use your information to:

  • operate the mobile app;
  • help us understand how our users use our apps;
  • authenticate you;
  • keep the mobile app secure and prevent fraud; and
  • improve our apps

We may advertise to you on third party apps. To do this, we may use your device identifier such as Apple’s Identifier for Advertiser (IDFA), or Google Advertising ID (AAID).

If you click on one of our ads on a third-party app, we may use Web Based tools such as your device.

App Permissions

When you download the Trader app on, the app may ask you to consent to some permissions the first time you download the app or when you access specific features in the app identifier. Some of these permissions relate to how we are going to use your information.

8. PROTECTING YOUR PERSONAL INFORMATION Security Measures

We have internal policies and security standards to help protect our systems and your Personal information against unauthorized access and use. We retain your Personal Information only as long as we need it, and we only use it for the purposes that we explain to you. Our service providers and agents are contractually bound to keep your Personal Information confidential and must not use it for any unauthorized purpose. Our employees must also keep your Personal Information secure.

9. DISCLOSING YOUR PERSONAL INFORMATION

We may disclose your Personal Information to our affiliates, lenders, credit bureaus, employees, contractors and consultants. It may also be disclosed to other third-party agents or service providers (“Third Parties”) who require this information to help us establish, maintain and manage our business relationship to you, or to Third Parties you have provided your consent to receive information about financial products or services that may be of interest to you, which will be governed by those Third Parties’ own privacy policy found here (https://kohoconsulting.com/privacy-policy, Terms of Use - Canadian Black Book).

Credit Applications

If you apply for credit on the Sites with our dealers and lenders or any third party, you will need to provide your Personal Information, including your address, credit information, employment, and other financial information. We may share your application information with the dealership(s) you selected and our lenders/ financial partners so that they can process your application.

Corporate and Asset Transactions

If we sell all or substantially sell all of our business or sell or transfer all or a material part of our assets or are otherwise involved in a merger or transfer of all or a substantial part of our business, we may transfer all your Personal Information that we have collected and stored, to the party or parties involved in the transaction. We will require such providers to maintain your Personal Information confidentiality, to use it only for the purposes of the transaction and to safely destroy it once the transaction fails or when its purpose is fulfilled.

We may also disclose your Personal Information to:

Buyers, Sellers, Dealers and Manufacturers. Personal Information and Data Technologies may be shared with lenders, dealers and manufacturers, and their agents and third-party service providers, who will use that Information in accordance with their own privacy policies.

Employees. Your Personal Information is accessible to our officers and employees who must access it to make the use provided for in this Policy and with which they must abide.

Other
  • Protect or defend our interests and the legal rights or property of Trader;
  • Protect the rights, interests, safety, and security of users of the Sites or members of the public;
  • Protect against fraud or for risk management purposes; or
  • Comply with prudent legal practice as we may determine, and applicable law or legal process.
10. RETAINING AND DESTROYING YOUR PERSONAL INFORMATION

We retain your Personal Information only as long as we need it for the purposes, we collected it. Our Document Retention and Destruction Policy helps us determine the length of time it should be retained. The length of time will vary and depends upon the product or service, the sensitivity of the information, and the purposes for which we use it. We may retain your information after the end of your relationship with us.

For example, we may continue to need your information:

  • for legal or regulatory purposes;
  • to respond to issues that may arise at a later date;
  • to support fraud prevention organizations and other risk assessments; and
  • for security purposes

When we no longer need your Personal Information for these purposes we may securely destroy, delete, or erase it. We may also convert it to an anonymous form.

11. YOUR RIGHTS Accessing Your Personal Information

Upon request, we will give you access to the information we retain about you. If the information you want concerns any decisions we made about your product or service, we will tell you about the reasons for those decisions unless otherwise prohibited by law. If we relied on information from a third party, such as a credit bureau, to make the decision, we will, where the law allows, provide you with the name and address of that third party.

Please note that we will not be able to provide information about you from our records that contain references to other persons, is subject to legal privilege, contains confidential information proprietary to Trader, relates to an internal investigation, risk assessment or violation of law, or that cannot be disclosed for other legal reasons.

Correcting Your Personal Information

We make reasonable efforts to keep your Personal Information accurate and up to date. If your information changes, please notify us immediately so that we can make the necessary changes.

Automated Decision Making

We use various technology tools to help us serve and communicate with you and to anticipate your needs. Sometimes, the tools allow us to make decisions about you in real time because the process is fully automated. When this occurs, we may notify you in advance of the decision, for example, in the application process. We will also tell you how you can contact us to learn more about the automated decision process.

Request to Delete Personal Information

You can ask that Trader destroy, erase or make anonymous personal information when it is no longer required for the purposes for which it was collected by contacting the Privacy Officer at privacy.officer@trader.ca

Data Portability

You have the right to request and receive your Personal Information in a structured and commonly used technological format and can also request that information to be sent to another person or entity authorized by law to collect such information.

12. WITHDRAWAL OF CONSENT

You may change or withdraw your consent to the collection, use and disclosure of your Personal Information at any time, subject to reasonable notice, by contacting our Privacy Officer, even though that might impact your ability to register or receive a particular product or service.

If you do not want to receive marketing email from us, you can follow the unsubscribe link provided in those emails.

If you do not want to receive interest-based advertisements, you can opt out.

You have a number of choices regarding certain Data Technologies. Most web browsers automatically accept cookies, but you can usually modify your browser’s setting to decline cookies if you prefer. You may also render some web beacons unusable by rejecting their associated cookies and disable or delete similar data used by browser add-ons, by changing the add-on’s settings or the website of the technology provider. If you choose to decline cookies or similar technologies, certain features may not function properly or at all. You may be able to adjust the use of advertising identifiers on mobile devices through the settings on your device. Finally, if you do not want to use a uniquely generated telephone number, you may choose not to call us.

13. DE-IDENTIFICATION AND ANALYTICS

We may de-identify or anonymize your Personal Information by removing identifiable information such as your name, address, date of birth and account numbers to use it for serious and legitimate purposes. It may be aggregated and used for internal business purposes such as analytics and reporting, developing, and improving our products and services, understanding, and predicting client needs and preferences, preventing and detecting fraud, identifying trends like purchasing patterns, fraud trends, or enhancing our marketing.

14. EXTERNAL LINKS

Trader’s Sites include hyperlinks to external websites operated by third parties. We do not have any control over how they collect, use, or disclose Personal Information. Please read the third party’s privacy policy to learn about its information and privacy practices before you provide any Personal Information.

Trader Web Services Terms of Use (the "Terms")

Welcome to autoTRADER.ca (the "Website"). This is a legal agreement between you and Trader Corporation ("Trader") governing your use of the Website. This agreement contains disclaimers of liability and other terms that affect your rights. By using the Website, you agree to these Terms. If you do not or cannot understand and agree to these Terms, you cannot use the Website.

Please be sure to also review our Privacy Policy, which governs collection, use and disclosure of any personal information you may provide.

Additional terms may apply to your use of specific features or services. Where additional terms apply, those terms will be accessible to you or shown to you. You agree to read and be bound by those additional terms. If those additional terms conflict with these Terms, those additional terms will take precedence over these Terms in the context of your use of the feature or service to which they pertain.

PERSONAL USE ONLY

Access to the Website is provided for personal, non-commercial use only. You may be permitted to post private sale listings for items or vehicles that you personally own, but you may not post listings on behalf of a business except through a commercial account. ACCESSING AND BROWSING THE WEBSITE

You agree to access the Website using only the interfaces that we provide. You may not access the Website by any automated means, including scripts, bots, spiders, etc. You may not attempt to collect or index content or data from the Website using scripts or other automated means.

You may not reproduce content from the Website on other websites, or present our content in HTML "frames" or by similar means. You agree not to attempt to hack, disrupt, gain unauthorized access to, or interfere with the Website, any associated networks or servers, or another user's account.

You may view and print pages from the Website for your own personal use, provided that you do not alter the content and provided that all copyright and trademark notices are included. Trader reserves the right to change any aspect of the Website, including the right to refuse or remove any content, whatever the source, at any time without any notice or liability to you.

SUBMITTING CONTENT TO THE WEBSITE

We may allow you to submit comments, ratings, reviews, "for sale" listings, messages to other users, or other content to the Website ("User Content"). When you submit any User Content, you must abide by the following rules:

  • Be honest, relevant, and factually accurate. Any opinions that you express must be your own and must be genuinely held

  • Don't post any deceptive or misleading "for sale" listings. Descriptions of items listed for sale must be accurate and truthful.

  • Don't post anything that violates any applicable law or breaches any contractual or legal obligation you may have to any other person. Don't encourage others to commit illegal acts or to violate these Terms.

  • Don't post anything that may be defamatory, incorrect, false, misleading, malicious, threatening, abusive, harmful, obscene, offensive, slanderous, racist, libelous, or otherwise objectionable. Don't harass, threaten, or annoy other users. Don't impersonate any other person.

  • Don't try to solicit anyone else's personal information (except as may be required to conclude the sale of an item listed on the Website). Don't post other people's confidential or personal information, including personal contact information.

  • Don't conspire with others to push a product or an agenda on the Website. Don't post spam, including commercial messages for any other person or business.

  • Don't use scripts to automatically post content to the Website. Don't post or link to harmful or malicious content, malware, or computer viruses.

  • Don't post anything that infringes on anyone's intellectual property rights

Trader may remove, modify or delete user submissions, which appear to breach these Terms, or which appear to infringe on the intellectual property rights of others, or for any other reason. We may do this on our own initiative, or pursuant to a court order, lawful request, or demand.

When you submit User Content to the Website, you retain ownership of copyright and other intellectual property rights in that content, but you grant Trader a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, transferable and sublicenseable license to use, modify, reproduce, make available, and redistribute it in any form, format or media now known or later developed, without any requirement for attribution or compensation to you. You agree that access to the Website is sufficient consideration for the license you grant to us. You waive any right you may have to take action against us, our subsidiaries, affiliates, or sublicensees for infringement of any intellectual property or moral rights you may have in any User Content. By submitting any User Content, you represent and warrant that you own or have licensed all relevant rights in that content, including intellectual property and personality rights, and that our use of your submissions will not infringe upon or violate the intellectual property rights, privacy rights, publicity rights or any other rights of any third party.

Posting an ad privately on AutoTrader is largely free, but we offer packages to increase an ad’s visibility. Our fees are quoted in CAD and we may change them from time to time.

We reserve the right not to refund AutoTrader consumers for any fees paid through use of our site when the ad has been posted with exposure to AutoTrader and the consumer has benefited from the service provided related to the fee paid. We also reserve the right not to refund payments made on ads outside of AutoTrader’s posting policies. When posting your ad, you have accepted this as a part of our “Terms of Use”.

MODERATION OF USER CONTENT

User Content may be subject to moderation prior to publication on our website, and at any time thereafter. We may edit, modify, delete or refuse to publish any content at any time and for any reason, including for breach of these Terms. You understand that we have no obligation to moderate any content on the website, and that we may stop moderating content at any time.

You are solely responsible for any User Content you submit, and you understand that content you see on the Website may not have been reviewed by a moderator. Trader does not endorse any User Content, and takes no responsibility for the accuracy or reliability of any User Content. It's your responsibility to decide whether the content you see on the Website is accurate or reliable.

Any advertisements, opinions, advice, statements, services, offers, or other information or content expressed or made available by third parties, including our advertisers, service providers or other users, are those of their respective author or distributor and not those of Trader. You agree that we shall not be held liable to you or to any third party for the actions of users of our Website, or for your use of or reliance on any user generated content, "for sale" listings, third party advertisement or other third party content.

USER ACCOUNTS

You are responsible for your use of the Website, and for everything submitted to the Website using your user account, including anything posted by others who may gain access to your account. Select a strong password for your user account, and keep it secure. You understand that any submissions or actions that are in violation of any applicable law (including, but not limited to infringement of intellectual property rights), may lead to legal action against you.

You agree to provide us with current and correct information wherever requested, and to update that information if it changes. You agree to notify us and provide a current email address if your email address changes.

You cannot accept any kind of compensation (monetary, in-kind, or otherwise) for actions you take on the Website -- for example, you can't sell your user account, or post or promote content for other people for any sort of reward. Your user account is for your personal use only.

If we feel that you have breached these Terms, we may modify, deactivate, limit, or delete your user account, or we may block you from accessing the Website entirely. If we delete, deactivate or limit your user account for breach of these Terms, you may not create another user account without our permission.

We may add, delete, limit, modify or disable Website features, content or functionality at any time. We may temporarily or permanently shut down, limit, suspend or discontinue the Website, your user account, or your access to the Website at any time, for any reason (including for breach of these Terms), at our sole discretion, and without notice. You agree that under no circumstances will we be directly or indirectly liable for damages of any kind relating to this Agreement, the Website or your use thereof, including any general, special, consequential, exemplary or punitive damages, even if we have been specifically advised of the possibility of such damages.

INDEMNITY

You hereby agree to indemnify, defend and hold harmless Trader and its partners, members, shareholders, officers, directors, employees, consultants, service providers, and agents from any and all claims, liability, damages or costs they incur arising as a result of your misuse of the Website, your violation of these Terms, or your infringement of any intellectual property or other right of Trader or any person or entity.

TRADER INTELLECTUAL PROPERTY

All rights in the design, source code, and appearance of the Website, and all of the materials and content made available through the Website are owned by or licensed to Trader. These materials are protected by law against unauthorized copying and reproduction. Any unlicensed use, reproduction or distribution any of this proprietary material is expressly prohibited. Trade-marks appearing on the Website are owned or licensed by Trader or its affiliates, or are owned by third parties. You may not use or display these trade-marks except as may be required in order to make use of the Website in accordance with these Terms. The display of any trade-marks on the Website does not imply that a license has been granted for any further use.

DEALING WITH THIRD PARTIES

Any correspondence or business dealings with any third parties, including merchants, sellers, service providers, or advertisers found on, or through, the Website are solely the responsibility of you and such parties. Trader is not responsible for any damages you may suffer by corresponding with or entering into transactions with any third parties, including the payment for or delivery of goods, and for any terms, conditions, warranties, or representations associated with such dealings. You and the third party, not Trader, are responsible for compliance with all laws applicable in any such transaction. You correspond and transact with these third parties at your own risk.

Use caution and common sense when using the Website, and when entering into correspondence or purchase or sale transactions with third parties. In particular, exercise great care when revealing personal information and when purchasing items listed for sale on the Website. Trader publishes "for sale" listings on the Website without verification or endorsement. Trader cannot guarantee that these listings are accurate, or that the persons submitting or responding to these listings are not acting under false pretences.

NO ENDORSEMENT OF THIRD PARTY WEBSITES OR SERVICES

The Website may contain links to third party websites or services provided by parties other than Trader. These links are for your convenience only and Trader does not assume responsibility for the accuracy, reliability or appropriateness of these third party websites or services. Any mention of another party or its product or service on the Website is for informational purposes only and should not be construed as an express or implied endorsement of that party or its advice, opinions, information, products or services. Third party websites and services may be subject to terms and conditions imposed by the operator of those websites and services. Trader assumes no responsibility for, and disclaims all liability related to your use of any third party website or service.

NO CONTRACT OR OFFER

No part of the Website shall be taken to constitute an offer or solicitation from or by Trader to buy or sell products or services. Except for your agreement to abide by these Terms of Use and your agreement to the Privacy Policy, use of the Website does not create any contract or agreement between you and Trader, nor any obligation of Trader to you.

"For sale" listings displayed on the Website are merely published by Trader, without verification or endorsement, and any correspondence or transactions with third parties relating to items listed for sale through the Website are between you and that third party -- Trader has no responsibility or liability for any damages or losses that you may incur in connection with items or services listed for sale by third parties on the Website.

CONFIDENTIALITY

The Internet is not a secure means of communication. The privacy, integrity and authenticity of any communication over the Internet cannot be ensured. Trader is not responsible for any damages you may suffer if you communicate confidential information over the Internet or if Trader communicates such information to you at your request.

INTELLECTUAL PROPERTY INFRINGEMENT

You cannot post any content to the Website that infringes upon the intellectual property rights of others. If we believe that you have posted infringing content, we may delete or modify your posted content. If you repeatedly post infringing material, we may delete, disable or limit your user account. Infringement of third party intellectual property rights may lead to legal action against you. TERMINATION

We may terminate this Agreement at any time by deleting your user account for breach of these Terms or if you otherwise put Trader at risk of legal exposure. We may also terminate this agreement without notice to you if we decide to discontinue providing the Trader Website. The license you grant to us to use any User Content that you submit, all indemnities, and all terms limiting Trader's liability shall survive termination of this Agreement.

DEFINITIONS

For the purposes of this Agreement:

"Trader", "We", or "Us" means Trader Corporation and its subsidiary, affiliated and successor companies.

The "Website" means the Trader website accessible at autoTRADER.ca and any associated or co-branded features, applications, services or websites provided to you by Trader.

The "Terms", the "Terms of Use", or the "Agreement" means this Terms Of Use agreement, including our privacy policy and any amendments, modifications, and any additional terms which apply to particular features or services.

References to "posting" refer to the act of submitting material or making anything available to or through the Website or other Trader services or servers. This includes, without limitation: submitting listings or other content, posting comments, and sending messages to other users through the Website.

GENERAL

  1. Nothing in these Terms shall be interpreted to prevent Trader from taking any action required to comply with any applicable legal requirement.
  2. Our failure or forbearance to enforce any of these Terms shall not be considered a waiver of any of our rights.
  3. You agree that this agreement is provided to you in English. It is your responsibility to ensure that you understand these Terms.   4. You cannot transfer or assign your rights and obligations under this agreement to any other person without our consent.
  5. You agree that Trader may communicate with you about the Website and your user account via the email address you provide to us.
  6. Trader may freely assign its rights and obligations under these Terms in the event that it is party to a merger, acquisition, restructuring, sale of assets, or for any other reason.
  7. If any provision of these Terms is declared by a court of competent jurisdiction to be invalid, illegal or unenforceable, that provision shall be deemed to be severable, and the remainder of these Terms shall remain valid and in full force and effect.

Any disputes shall be heard at the Courts in Toronto, Ontario, Canada.
